These Terms of Service ("Terms") govern your access to and use of the website at getflockos.com and the FlockOS platform and related services (together, the "Services"), provided by MerinoCode LLC ("FlockOS", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

FlockOS provides software that helps independent car rental businesses ("Operators") manage bookings, payments, customers, communications, fleet operations, and related tasks. We may change, suspend, or discontinue any part of the Services at any time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• use the Services for any unlawful, fraudulent, or deceptive purpose;
• infringe the intellectual property or privacy rights of others;
• upload malicious code or attempt to disrupt or gain unauthorized access to the Services;
• misuse or attempt to reverse engineer the Services except as permitted by law.

4. Operator and customer data

If you are an Operator, you are responsible for the data you and your customers submit through the Services, for having the rights and consents necessary to provide that data to us, and for complying with applicable laws (including privacy and consumer-protection laws) in your use of the Services. FlockOS processes customer data on your behalf as described in our Privacy Policy.

5. Fees and payment

Paid features are billed according to the plan you select. Payments are processed by our third-party payment provider (Stripe); by providing payment information you authorize the applicable charges. Except as required by law or expressly stated, fees are non-refundable. We may change pricing on a prospective basis with reasonable notice.

6. Intellectual property

The Services, including all software, text, and design, are owned by FlockOS and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain ownership of the content and data you submit.

7. Third-party services

The Services integrate with third-party tools (such as payment, messaging, identity-verification, and mapping providers). Your use of those services is subject to their own terms and privacy policies, and we are not responsible for them.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, FlockOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid us for the Services in the twelve months before the claim.

10. Indemnification

You agree to indemnify and hold harmless FlockOS and its officers, employees, and agents from any claims, damages, and expenses arising out of your use of the Services, your content or data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Services or other users. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. The state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, unless applicable law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
